NITON AND DISTRICT CAMERA CLUB

 

CONSTITUTION

 

MARCH 2010

 

  1. NAME

 

The Club shall be known as: NITON AND DISTRICT CAMERA CLUB.

 

  1. AIMS AND OBJECTIVES

 

(a)    To foster and promote an interest in photography within the local community.

(b)    To provide help and encouragement to further the expertise of members by        arranging and promoting Club lectures, demonstrations and competitions and to form classes of instruction so as to bring about a widespread and thorough knowledge of the principles of photography.

 

  1. MEMBERSHIP

 

(a)    A membership fee will be charged and reviewed on an annual basis.

(b)    All members will be entitled to one vote at all General Meetings of the Club provided current subscriptions have been paid. Voting by proxy shall not be permitted. In the event of equality of votes upon any resolution, the Chairman of the meeting shall have a second and casting vote.

(c)    The Committee shall have the power to require the resignation of any member of the Club who, in their opinion by their action and their conduct, brings the name of Niton and District Camera Club into disrepute and is in breach of the Club’s aims and objectives.

 

  1. FINANCE

 

(a)    All monies raised by or on behalf of the Club shall be used to further the aims of the Club.

(b)    Cheque signatories shall be any of two of the following:-

Chairman, Secretary, Treasurer and any two named committee members.

(c)     At the Annual General Meeting members will be provided with Income and Expenditure Accounts and proof of the balance standing to the credit of the Club’s accounts. Bank statements will be available to all Members for inspection.   

 

5.     COMMITTEE

 

(a)    Membership of the Committee is open to all paid up members of the Club.

(b)    The Committee shall be elected to carry out the business of the Club.

(c)    The Committee shall consist of President, Chairman, Secretary, Treasurer, Competition Secretary plus two other members, to be elected at the Annual General Meeting.

(d)    Minutes of the Committee Meetings shall be kept in a book and shall be available to all members.

(e)    Committee members shall retire by rotation at each Annual General Meeting

and may offer themselves for re-election. When a Committee Member retires

before the next Annual General Meeting, all members of the Club will be notified

and voting will take place at the next meeting of the Club.

(f)    The Committee shall meet at least twice a year.

 

6. ANNUAL GENERAL MEETING

 

      (a)     The Annual General Meeting shall be held in March of each year.

      (b)     The business of the meeting shall be the election of the Officers,

      Committee and Honorary Members and to consider the annual report and accounts 

      of the Club. Suggested changes to the Constitution must be handed to the

      Secretary not less than fourteen days before the Agenda for the Annual General

      Meeting is posted. One third of paid-up members shall form a quorum for any

      General Meeting. The Secretary shall give notice of the Annual General Meeting

      not less than fourteen days beforehand.

 

7. EXTRAORDINARY MEETING

 

      An Extraordinary General Meeting may be called at the discretion of the    

      Committee or upon the written request of four of the members. Such a

      request shall state the subject for discussion. On receipt of the request the

      Secretary shall forthwith summon a meeting of the Club. Notice of the meeting

      shall be given fourteen days beforehand.

 

8. DISSOLUTION

 

     (a)   The Club may only be dissolved at a Special General Meeting called for the

      purpose and for which all members must be notified not less than fourteen days

      beforehand.

     (b)   A proposal to dissolve the Club shall take effect only if agreed by two thirds   of paid-up Members present at the meeting.

     (c)    Any liquidated assets, financial or otherwise, remaining after the payment of all debts and liabilities shall be  donated to a nominated local charity, to be decided at the time, according to the wishes of the paid-up members present at the meeting.
